These Terms of Service ("Terms") govern your access to and use of Wakebrief (the "Service"), operated by PIMAS I CAÑELLAS 2012 SLU ("Wakebrief", "we", "us", or "our"), a company registered in Spain under Tax ID (CIF) B55150114, reachable at legal@wakebrief.com.
By creating an account or using the Service, you ("Customer", "you") agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Wakebrief is a software-as-a-service tool that delivers a daily email briefing summarizing publicly available Instagram activity from competitor accounts and hashtags configured by the Customer. The briefing is generated using artificial intelligence and is intended to inform marketing, content, and competitive-research decisions.
Wakebrief is not a content-generation tool, a social-media management platform, or a substitute for professional advice. Recommendations included in the briefing are AI-generated and informational; the Customer is solely responsible for any decisions made based on them.
2. Eligibility and account
You must be at least eighteen (18) years old and authorized to bind any legal entity you represent. You must provide a valid email address; we use magic-link authentication and do not store passwords. You are responsible for keeping access to the email you registered with — anyone able to receive your magic-link emails can access your account.
You must connect a valid Instagram Business or Creator account, which you own or are authorized to manage, through Meta's official OAuth flow.
3. Acceptable use
You agree not to:
- Use the Service in violation of Meta's Platform Terms, Instagram Platform Policy, or any applicable law.
- Configure the Service to monitor accounts of minors or to harass, defame, dox, or stalk any individual.
- Attempt to circumvent the Service's rate limits, tenant isolation, or security measures.
- Resell, sublicense, or white-label the Service without our written agreement.
- Use the Service to build or train a competing product, or to scrape our outputs at scale for redistribution.
- Use the Service for any unlawful, fraudulent, or deceptive purpose.
We may suspend or terminate your account for violations, with notice where reasonably practical.
4. Subscription, fees, and renewal
The Service is offered on a subscription basis. The current price is displayed at sign-up and on the website. Subscriptions are billed in advance and renew automatically until cancelled. Cancellation takes effect at the end of the current billing period; you retain access until that date.
Payment is processed by Stripe Payments Europe, Ltd., our payment processor. We do not store your card details. Stripe's terms apply in addition to ours for the payment-processing aspect of the Service.
All prices exclude VAT, which is added where applicable based on your billing country and VAT-ID status. Invoices are made available in your account.
5. Refunds
In line with industry standard and given the digital, immediately-rendered nature of the Service, we do not issue refunds for partial periods. If you believe you have been incorrectly billed, contact us at legal@wakebrief.com within thirty (30) days of the charge and we will investigate in good faith.
6. Free trial and beta features
If we offer a free trial, the trial converts automatically into a paid subscription at the end of the trial period unless cancelled in advance. Features explicitly marked "Beta" are provided "as is", may change or be removed at any time, and may not meet the reliability standards of generally available features.
7. Intellectual property
We retain all intellectual property rights in the Service, including software, design, brand, and our internal models and prompts. You retain all rights in your account data and configuration. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service during the term of your subscription.
The daily briefings we deliver to you may be used freely inside your organization for internal decision-making. You may not redistribute briefings publicly, share account access with third parties, or use briefings to train another machine-learning system.
Third-party content quoted or summarized in briefings remains the intellectual property of its original authors and is reproduced under fair-use / quotation principles for the purpose of competitive analysis.
8. Privacy
Our processing of personal data is described in our Privacy Policy. By using the Service you acknowledge this Privacy Policy.
9. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or that briefings will be complete, current, or commercially actionable. Meta's APIs may change, rate-limit us, or become unavailable; while we work around such constraints, we cannot guarantee continuous data coverage.
AI-generated content may contain errors, omissions, or inaccuracies. You are responsible for verifying any information before acting on it.
10. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service shall not exceed the fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
Nothing in these Terms excludes or limits liability for gross negligence, intentional misconduct, or any liability that cannot be excluded under applicable law (including Spanish consumer law where you contract as a consumer).
11. Indemnification
You agree to indemnify and hold us harmless against any claim, loss, or liability arising from your violation of these Terms, your misuse of the Service, your violation of third-party rights (including Meta's Platform Terms), or content you configure the Service to process.
12. Term and termination
These Terms remain in force as long as you have an account. You may close your account at any time from your account settings or by emailing legal@wakebrief.com. We may suspend or terminate your account immediately for material breach of these Terms.
On termination: your access ends; we delete your data on the schedule described in our Privacy Policy; outstanding fees remain due.
13. Changes to the Service or these Terms
We may modify the Service or these Terms. Material changes to the Terms will be notified by email at least thirty (30) days before they take effect. Continued use after the effective date constitutes acceptance.
14. Governing law and jurisdiction
These Terms are governed by Spanish law. Disputes shall be brought before the competent courts of Girona, Spain, except where mandatory consumer-protection law grants the consumer the right to bring proceedings in their place of residence.
